THE FEBRUARY 2002 MEETING DATED CHANGED TO FEBRUARY 12, 2002 TO BEGIN AT 10:00AM
TRIBAL ENTERPRISES BOARDS AND COMMISSIONS CALLED IN FOR SPECIAL TRIBAL BUSINESS COUNCIL MEETING ON THE CORPORATE BOARD PROPOSAL
The Tribal Business Council has called a Special Meeting to meet with All the Tribal Enterprise Board and Committee Members to discuss the proposed Corporate Board Resolution.
Such meeting is scheduled for Tuesday February 13, 2002 at 10:00 AM to discuss the Corporate Board Resolution.
Such proposed resolution states in part:
"WHEREAS, The Tribal Business Council has the power, under the Constitution, to own and charter business to be owned by the Tribe, and the Tribe is now desirous of establishing a Tribal business enterprise that will eventually own and operate all of the major business enterprises of the Tribe, and will be responsible for determining what future business the Tribe should develop and support; and
WHEREAS, Studies have shown that a single Board of Directors that employees a professional Chief Executive Officer to manage and operate its businesses, and to hire such staff as may be necessary to operate each business owned by the Tribe allows the existing enterprises owned by the Tribe to have a far better chance to succeed and provide income to the Tribe and employment to Tribal members than if controlled strictly by the Tribal Business Council, and in the case of the Three Affiliated Tribes, such a structure will in the long run save the Tribe considerable resources; and
WHEREAS, The Tribal Business Council has reviewed and fully considered the proposed charter for the prospective business enterprise to be known as MHA Enterprises, Inc., which will serve as a holding company for the other for profit enterprises wholly owned by the Three Affiliated Tribes, and it finds it in the best interests of the Three Affiliated Tribes to approve such a charter; and
Whereas, It is the initial wish of the Three Affiliated Tribes to place Fort Berthold Development Corporation, 4 Bears Casino and Lodge, Twin Buttes Custom Homes, Inc., Mandaree Enterprises, Inc., Mandaree Solid Surfaces Corporation, Elbowoods Works and the Figure 4 Ranch and Buffalo Project, under the control of  MHA Enterprises, Inc., as soon as practicable, with such other Tribal corporations to be placed under the control of MHA Enterprises, Inc., as may be feasible, practicable, or necessary in the future, provided that the purposes of retaining the 8(a) designation of Mandaree Enterprises, Inc. and Fort Berthold Development Corporation, Inc. the structure of the Board of Directors of each corporate entity will remain intact; and"…
Any interested members, are encouraged to attend, to provide your input, regarding such proposal.  Thank You.
